Please read these Terms and Conditions carefully before using the NovaRyd mobile application, website, or transportation services. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using the NovaRyd mobile application, accessing our website, or using our transportation services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Service Description

NovaRyd provides an electric auto-rickshaw transportation service and mobile application that connects riders with drivers. Our services include:

• Booking electric auto-rickshaw rides through our mobile application
• Providing transportation services within our designated service areas
• Processing payments for rides
• Offering advertising opportunities on our vehicles

3. User Accounts

To use our services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Not share your account with any third party
• Notify us immediately of any unauthorized use of your account

You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate your account if we suspect any unauthorized or fraudulent activity.

4. User Conduct

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Use our services for any illegal or unauthorized purpose
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to any part of our services
• Harass, abuse, or harm another person, including our drivers
• Submit false or misleading information
• Use our services while under the influence of alcohol or drugs

5. Booking and Cancellation

When booking a ride through our mobile application:

• You agree to provide accurate pickup and drop-off locations
• You understand that estimated arrival times are approximate
• You agree to be present at the pickup location when the driver arrives
• You may cancel a booking subject to our cancellation policy

Cancellation Policy: You may cancel a booking at any time before the driver arrives. However, cancellations made after a driver has been assigned may incur a cancellation fee, which will be clearly displayed in the app before you confirm the cancellation.

6. Payments

By using our services, you agree to pay all applicable fees and charges:

• All rides are subject to our fixed fare structure within designated service areas
• Payment methods must be valid and authorized
• You authorize us to charge your selected payment method for all applicable fees
• All fees and charges are non-refundable unless otherwise specified
• We reserve the right to change our fees and charges at any time

7. Safety and Compliance

When using our transportation services:

• You agree to comply with all safety instructions provided by the driver
• You must wear safety equipment as required by local regulations
• You must not engage in any behavior that distracts the driver
• You must not damage or vandalize our vehicles
• You must not exceed the maximum passenger capacity of the vehicle

8. Limitation of Liability

To the maximum extent permitted by law, NovaRyd, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our liability shall be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless NovaRyd, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another
• Your conduct in connection with our services

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of these Terms or by other means as determined by us. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the courts located in Mumbai, Maharashtra, India.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
